Welcome to Sokoskuli, Kenya's Integrated Educational Marketplace.
Sokoskuli is a comprehensive digital ecosystem designed to simplify, modernize and strengthen the education value chain by connecting learners, parents, guardians, schools, educational institutions, vendors, publishers, transport providers, accommodation providers, service providers, development partners and government agencies through one secure marketplace.
Unlike a conventional e-commerce platform, Sokoskuli has been specifically developed to support education by enabling users to access products, services and opportunities that contribute directly to teaching, learning, school administration and learner welfare.
The platform brings together educational commerce, digital resources, learner transport, accommodation, donations, barter exchange, recycling initiatives, Eco Points rewards and other education-related services into a unified ecosystem that promotes affordability, accessibility, transparency and sustainability.
These Terms and Conditions establish the legal framework governing the use of the Sokoskuli Marketplace and are intended to protect all users while ensuring fair, transparent and lawful participation.
1. ABOUT SOKOSKULI
Sokoskuli is an integrated multi-vendor educational marketplace owned, developed and operated by Manen Systems Limited, a company duly incorporated in the Republic of Kenya.
The platform has been established to improve access to quality educational products and services by providing a secure, transparent and efficient digital marketplace dedicated exclusively to the education sector.
Sokoskuli supports transactions involving educational goods and services including, but not limited to:
- School uniforms
- Books and learning materials
- Stationery
- Digital educational resources
- School furniture
- ICT equipment
- Laboratory equipment
- Musical instruments
- Sports equipment
- Special Needs educational resources
- ECDE learning materials
- School transport
- Learner accommodation
- School services
- Educational consultancy
- Donations
- Recycling programmes
- Eco Points rewards
- Barter exchange
- Educational events
- Advertising services
- Approved educational service providers
The Marketplace is intended solely for education-related commerce and associated services. Products or services unrelated to education may be declined, suspended or removed at the sole discretion of Sokoskuli.

These Terms apply whether you access Sokoskuli using:
- Desktop

- Future technologies introduced by Sokoskuli
6. ACCEPTANCE OF THESE TERMS
By creating an account, accessing, browsing, purchasing from, selling through or otherwise using the Sokoskuli Marketplace, you acknowledge that you have:
- Read these Terms and Conditions in full.
- Understood your rights and obligations.
- Agreed to be legally bound by these Terms.
- Agreed to comply with all applicable laws of the Republic of Kenya.
- Agreed to comply with all Sokoskuli policies incorporated by reference.
If you do not agree with these Terms, you must immediately discontinue use of the Marketplace.

8. ELIGIBILITY TO USE THE MARKETPLACE
8.1 General Eligibility
The Sokoskuli Marketplace is intended for individuals and organisations that have the legal capacity to enter into binding contracts under the laws of the Republic of Kenya.
By creating an account or using the Marketplace, you represent and warrant that you:
- are legally capable of entering into binding agreements;
- have provided accurate and complete registration information;
- will maintain the accuracy of your account information;
- will comply with these Terms and all applicable laws and regulations;
- will use the Marketplace only for lawful educational purposes.
8.2 Age Requirements
To register an independent account on Sokoskuli, you must:
- be at least eighteen (18) years of age; or
- possess legal authority to act on behalf of an organization, institution or business.
Individuals below the age of eighteen (18) may only access certain Marketplace services through:
- a parent;
- a legal guardian;
- an authorized educational institution;
- another legally responsible adult approved by Sokoskuli.
Children shall never be required to independently enter legally binding contracts through the Marketplace.

Sokoskuli reserves the right to approve, reject or suspend any application where it reasonably believes registration may expose the platform or its users to legal, financial or reputational risk.

Registration is free unless expressly stated otherwise for specific premium services.
During registration, users must provide information that is complete, accurate and current.

10. ACCOUNT VERIFICATION (KYC)
To promote trust, transparency and marketplace integrity, Sokoskuli may conduct Know Your Customer (KYC) verification.
Verification may include:
- National Identification verification
- Passport verification
- Business registration verification
- KRA PIN verification
- School registration verification
- Mobile phone verification
- Email verification
- Facial verification where legally permissible
- Address verification
- Banking or Mobile Money verification
- Vendor documentation review
Verification requirements may vary according to account type and transaction value.
Users agree to cooperate with all reasonable verification requests.
Failure to provide requested information may result in:
- delayed activation;
- restricted functionality;
- suspension of listings;
- temporary account limitations; or
- permanent account closure.
11. ACCOUNT SECURITY
Every user is responsible for maintaining the confidentiality of their account credentials.
Users must:
- choose a strong password;
- not share passwords;
- not permit unauthorized access;
- promptly update compromised credentials;
- maintain accurate recovery information.
Sokoskuli strongly encourages Multi-Factor Authentication (MFA).
Where available, users should enable:
- One-Time Password (OTP)
- Authenticator Applications
- Biometric Authentication
- Device Recognition
Unauthorized Access
Users must notify Sokoskuli immediately if they suspect:
- unauthorized access;
- stolen credentials;
- phishing attacks;
- fraudulent activity;
- account compromise.
Sokoskuli shall not be liable for losses resulting from a user's failure to adequately safeguard account credentials.

Administrators possess elevated permissions including:
- marketplace moderation;

Administrative privileges are granted solely by Manen Systems Limited.
13. ORGANISATIONAL ACCOUNTS
Businesses, schools and organisations may authorize multiple users to access a shared account.
The account owner remains responsible for:
- assigning permissions;
- revoking access;
- monitoring activity;
- ensuring compliance with these Terms.
All actions performed by authorized users shall be deemed actions of the organization.
14. ACCOUNT SUSPENSION
Sokoskuli may suspend or restrict an account where it reasonably believes:
- false information has been provided;
- fraud is suspected;
- illegal activity has occurred;
- intellectual property rights have been infringed;
- child safeguarding concerns arise;
- payment abuse occurs;
- repeated customer complaints indicate serious misconduct;
- marketplace integrity is threatened.
Suspension may be temporary or permanent depending on the severity of the breach.
Where practicable, affected users shall receive notice explaining the reason for suspension and, where appropriate, an opportunity to respond.
15. ACCOUNT TERMINATION BY USERS
Users may close their accounts at any time by submitting a request through the Marketplace or by contacting Sokoskuli Customer Support.
Before closure:
- outstanding disputes must be resolved;
- pending orders completed or cancelled;
- applicable fees settled;
- legal retention obligations satisfied.
Certain records may be retained after account closure where required by law or for legitimate business purposes, including fraud prevention, audit requirements, and compliance with applicable regulations.
16. ACCOUNT TERMINATION BY SOKOSKULI
Sokoskuli may terminate an account immediately where:
- fraudulent activity is confirmed;
- repeated serious violations of these Terms occur;
- prohibited goods or services are offered;
- unlawful conduct is detected;
- misuse of personal data is established;
- a court or regulatory authority requires termination;
- continued operation of the account poses a material risk to the Marketplace or its users.
Termination under this section does not affect any accrued rights or obligations existing before the termination date.
17. USER REPRESENTATIONS AND WARRANTIES
By maintaining an account on the Marketplace, each user represents and warrants that:
- all information supplied is true, accurate and complete;
- they possess the legal authority to enter into transactions facilitated through the Marketplace;
- they will comply with these Terms and all applicable laws;
- they will not impersonate another person or entity;
- they will not create multiple accounts to circumvent restrictions or sanctions;
- they will promptly update any information that becomes inaccurate or outdated.
Any breach of these representations may result in suspension, termination, or other enforcement measures under these Terms.
18. THE SOKOSKULI MARKETPLACE
18.1 Nature of the Marketplace
Sokoskuli is a secure, technology-enabled, multi-vendor educational marketplace that facilitates the discovery, listing, purchase, sale, exchange, donation, booking and delivery of education-related products and services.
Unless expressly stated otherwise, Sokoskuli acts as a marketplace facilitator and is not the manufacturer, importer, distributor, owner or direct supplier of products or services listed by independent vendors.
Certain products and services may, however, be supplied directly by Manen Systems Limited or its approved subsidiaries. In such instances, Sokoskuli shall be clearly identified as the seller or service provider.

Products shall be organised by developmental milestones and age groups to support parents, caregivers and teachers.

Providing booking and management of:

Including:
- Student Hostels

Supporting non-monetary exchange of educational products and services.

Supporting responsible disposal and recycling of:

Rewarding environmentally responsible activities undertaken through the Marketplace.
Advertising Marketplace
Providing promotional opportunities for approved education-related businesses and organisations.
Sokoskuli reserves the right to introduce, modify, suspend or discontinue Marketplace modules without prior notice where necessary for operational, legal or security reasons.
19. MARKETPLACE PRINCIPLES
The Marketplace shall operate on the principles of:

- Consumer Protection

- Innovation
- Inclusion
- Environmental Responsibility
All users shall conduct themselves in a manner consistent with these principles.
20. BUYER RESPONSIBILITIES
Every buyer agrees to:
- provide accurate account information;
- use lawful payment methods;
- purchase only where there is genuine intention to complete the transaction;
- review product descriptions before purchase;
- inspect goods upon delivery where reasonably practicable;
- report discrepancies promptly;
- communicate respectfully with sellers;
- comply with Marketplace procedures for returns and disputes;
- avoid abusive, fraudulent or manipulative purchasing behaviour.
Buyers shall not:
- intentionally place false orders;
- repeatedly cancel orders without reasonable cause;
- abuse refund mechanisms;
- engage in payment fraud;
- manipulate Marketplace ratings.
21. SELLER RESPONSIBILITIES
Every seller shall:
- provide accurate product information;
- maintain sufficient inventory;
- honour confirmed orders;
- comply with all applicable Kenyan laws;
- ensure that listed products are safe, lawful and fit for purpose;
- maintain professional customer service;
- issue receipts where required;
- cooperate in dispute resolution;
- comply with all Marketplace policies.
Sellers remain solely responsible for products and services supplied through the Marketplace unless Sokoskuli is expressly identified as the seller.
22. PRODUCT LISTINGS
All product listings must contain accurate and complete information.
Each listing shall include, where applicable:
- Product Name
- Product Category
- Description
- Brand
- Manufacturer
- Country of Origin
- Model Number
- Age Suitability
- Educational Level
- Colour
- Size
- Material
- Quantity
- Condition
- Warranty Information
- Safety Information
- Price in Kenya Shillings (Kshs)
- Availability
- Delivery Options
- Images
- Product Specifications
Sellers shall not intentionally omit material information that may influence a purchasing decision.
22.1 Product Images
Product images shall:
- accurately represent the product;
- be clear and of acceptable quality;
- not infringe intellectual property rights;
- not contain misleading watermarks;
- not contain offensive material.
Where no product image is available, Sokoskuli may display the official Sokoskuli fallback image until the seller uploads an approved image.
23. SERVICE LISTINGS
Service providers shall accurately describe:
- services offered;
- pricing;
- availability;
- qualifications;
- certifications;
- operating hours;
- service areas;
- booking requirements;
- cancellation terms.
Service providers shall maintain all licences required by applicable law.
24. PROHIBITED PRODUCTS
The following shall not be listed on Sokoskuli without prior written approval or where prohibited by law:
- Illegal goods
- Counterfeit products
- Stolen property
- Dangerous chemicals
- Weapons
- Tobacco products
- Alcoholic beverages
- Recreational drugs
- Pornographic material
- Gambling products
- Hate material
- Fraudulent educational certificates
- Pirated software
- Copyright-infringing materials
- Live animals (unless expressly approved for educational purposes)
- Human remains
- Hazardous waste
- Products prohibited under Kenyan law
Sokoskuli may remove any prohibited listing without notice.
25. RESTRICTED PRODUCTS
Certain categories may only be listed after enhanced verification, including:
- Laboratory chemicals
- Medical devices for educational use
- Scientific equipment
- High-value ICT equipment
- Educational drones
- Electrical equipment
- Imported educational materials requiring regulatory approval
Sellers shall provide supporting documentation upon request.
26. PRODUCT SAFETY
Every seller warrants that products:
- comply with applicable safety standards;
- are suitable for educational use;
- are free from undisclosed defects;
- do not pose unreasonable risks to learners or users;
- comply with applicable consumer protection legislation.
Products intended for young children shall comply with recognised child safety standards.
27. EDUCATIONAL CONTENT
Digital educational content must:
- be legally owned or licensed;
- respect copyright laws;
- identify licensing restrictions;
- not contain malware;
- not infringe third-party rights.
Authors retain ownership of their intellectual property unless otherwise agreed.
28. INVENTORY MANAGEMENT
Sellers shall maintain accurate inventory records.
Listings shall promptly reflect:
- stock availability;
- discontinued products;
- price changes;
- product recalls.
Knowingly accepting orders for unavailable products constitutes a breach of these Terms.
29. PRICING
All prices displayed on Sokoskuli shall:
- be quoted exclusively in Kenya Shillings (Kshs);
- be accurate at the time of listing;
- include all applicable taxes where required by law;
- clearly distinguish optional charges, including delivery fees.
Hidden charges are prohibited.
Delivery fees shall only be added where the buyer expressly selects a delivery option during checkout.
30. PROMOTIONS AND DISCOUNTS
Promotional offers must:
- clearly state eligibility criteria;
- specify start and end dates;
- disclose any limitations;
- avoid misleading representations.
Sellers remain responsible for honouring valid promotions they publish.
31. MARKETPLACE COMMISSIONS
Where applicable, Sokoskuli may charge sellers:
- listing fees;
- transaction commissions;
- subscription fees;
- advertising fees;
- premium service charges.
Applicable fees shall be published separately and may be updated from time to time with reasonable notice.
32. MARKETPLACE MODERATION
To preserve trust and safety, Sokoskuli reserves the right to:
- review listings;
- edit formatting for consistency;
- request supporting documentation;
- temporarily hide listings;
- remove prohibited content;
- suspend sellers;
- investigate suspected misconduct.
Marketplace moderation does not transfer legal responsibility for listed products or services from the seller to Sokoskuli.
33. PLACING ORDERS
33.1 Formation of a Purchase
An order is deemed to be placed when a Buyer successfully completes the Marketplace checkout process and receives an electronic order confirmation from Sokoskuli.
Confirmation of an order acknowledges receipt of the order request only and does not constitute acceptance by the Seller until the Seller confirms availability of the product or service.
Where Sokoskuli is the Seller, acceptance shall occur upon confirmation that the order has been approved for processing.

- Taxes
- Optional Delivery Charges
- Payment Method
- Delivery or Collection Option
- Estimated Delivery Timeline
- Order Status
33.3 Order Statuses
Orders may progress through the following stages:
- Pending Payment
- Payment Received
- Awaiting Seller Confirmation
- Processing
- Ready for Collection
- Awaiting Dispatch
- In Transit
- Delivered
- Completed
- Cancelled
- Refunded
- Returned
- Partially Refunded
- Failed
The Marketplace shall display real-time status updates where technically feasible.
34. SHOPPING CART
The shopping cart enables Buyers to purchase products from one or multiple Sellers through a consolidated checkout experience.
Adding an item to the shopping cart does not reserve inventory or guarantee availability.
Sellers may update stock availability prior to confirmation of an order.
Where an item becomes unavailable before confirmation, Sokoskuli shall notify the Buyer and remove or update the affected item accordingly.
35. CHECKOUT PROCESS
The standard checkout process shall consist of the following stages:
- Review Shopping Cart
- Confirm Buyer Information
- Select Collection or Delivery
- Select Payment Method
- Review Order Summary
- Confirm Purchase
Buyers shall have the opportunity to review and correct any errors before confirming payment.
36. DELIVERY IS OPTIONAL
Delivery is an optional service.
Sokoskuli shall not automatically include delivery charges in the order total.
Every Buyer shall be presented with the following options during checkout:
Option A — Collection / Pickup
The Buyer may elect to collect the purchased item from:
- Seller's premises;
- Designated collection point;
- School pickup location;
- Approved Marketplace collection centre.
Where collection is selected:
- No delivery fee shall be charged.
- The order total shall exclude delivery costs.
Option B — Delivery
If the Buyer elects to receive delivery, the Buyer shall select:
- County
- Sub-County
- Ward
- Town
- Estate or Village
- Preferred Delivery Address
- Landmark (optional)
- GPS Coordinates (optional)
The Buyer shall then select an available delivery method before any delivery charges are calculated.
Delivery charges shall be displayed transparently before payment is authorised.
37. DELIVERY LOCATIONS
The Sokoskuli Marketplace currently supports delivery within the Republic of Kenya only.
Delivery destinations shall be limited to recognised administrative locations within Kenya.
International shipping is not available unless expressly introduced by Sokoskuli in the future.
Where an unsupported location is entered, the Buyer shall be notified and invited to select an eligible location.

Available delivery methods may include:

Available methods may vary depending on:
- Product type
- Seller
- Buyer location
- Size or weight
- Service availability

40. DELIVERY INSPECTION
Upon delivery, Buyers should inspect products within a reasonable period.
The Buyer should verify:

- Missing Components
- Packaging Integrity
Any apparent discrepancies should be reported through the Marketplace promptly.
Acceptance of delivery does not waive statutory consumer rights in respect of latent defects.

Users shall not attempt to bypass authorised payment processes.
43. FAILED PAYMENTS
Where payment fails:
- the order shall remain incomplete;
- inventory shall not be guaranteed;
- the Buyer may retry payment within the permitted period.
Sokoskuli reserves the right to cancel unpaid orders after a reasonable period.
44. PAYMENT FRAUD
Users shall not:
- use stolen payment credentials;
- impersonate payment account holders;
- manipulate payment systems;
- initiate fraudulent chargebacks;
- submit false proof of payment.
Confirmed payment fraud may result in:
- immediate suspension;
- cancellation of orders;
- legal action;
- reporting to relevant authorities.
45. RETURNS
Buyers may request returns in accordance with the Sokoskuli Returns Policy and applicable Kenyan consumer protection laws.
Returns may be accepted where:

- products were materially different from the description;
- goods arrived damaged;
- statutory rights require acceptance.

A Buyer requesting a return shall:

Sellers shall respond to return requests within the prescribed timelines communicated by the Marketplace.
47. REFUNDS
Where a refund is approved, it may include:

- delivery charges where the Seller or Marketplace is responsible for the failed fulfilment or where required by law.
Refunds shall generally be made using the original payment method unless another lawful method is agreed.
48. PARTIAL REFUNDS
Partial refunds may be appropriate where:

- only certain items are defective;
- a service has been partially performed;
- parties agree to retain goods at a reduced price.
49. STORE CREDIT
Where permitted by law and agreed by the Buyer, refunds may be issued wholly or partly as:

Store Credit shall remain subject to the separate Sokoskuli Store Credit Policy.
50. ORDER CANCELLATION
A Buyer may request cancellation before dispatch or commencement of a service.
After dispatch or commencement, cancellation shall be subject to:
- the Seller's cancellation terms;
- applicable law;
- the Marketplace Returns Policy.
Sellers may only cancel confirmed orders where there is a legitimate reason, including:
- stock unavailability;
- pricing error;
- suspected fraud;
- legal restrictions;
- force majeure.
Affected Buyers shall be notified promptly and, where payment has been received, appropriate refunds shall be processed.
51. CONSUMER RIGHTS
Nothing in these Terms limits or excludes any rights that consumers are entitled to under the laws of the Republic of Kenya.
Where any provision of these Terms conflicts with mandatory consumer protection legislation, the applicable law shall prevail to the extent of the inconsistency.
52. DISPUTES RELATING TO ORDERS
Where a dispute arises concerning an order, the parties are encouraged to resolve the matter amicably through the Sokoskuli dispute resolution process.
Where informal resolution is unsuccessful, Sokoskuli may facilitate communication and mediation between the parties but does not assume liability for obligations that remain the responsibility of the Buyer or Seller, except where Sokoskuli is the contracting party.
Nothing in this section prevents a party from pursuing any legal remedies available under applicable law.

53.1 Purpose
The Sokoskuli Marketplace extends beyond traditional e-commerce by providing specialised educational services designed to improve affordability, accessibility, sustainability and learner welfare throughout the Republic of Kenya.
These specialised services form an integral part of the Marketplace and shall be governed by these Terms together with any applicable supplementary policies.

BARTER EXCHANGE MARKETPLACE
54. PURPOSE OF THE BARTER MARKETPLACE
The Sokoskuli Barter Exchange enables registered users to exchange educational products without the exchange of money.
Its purpose is to:

- minimize waste;
- encourage community participation;
- support affordability.

55. OWNERSHIP OF BARTER ITEMS

Knowingly listing stolen or unlawfully acquired property constitutes a material breach of these Terms.

Listings shall not intentionally misrepresent product quality.
57. EXCHANGE AGREEMENTS

Institutional procurement shall remain subject to the internal governance policies of the respective institution.
87. CONTINUOUS DEVELOPMENT
Sokoskuli reserves the right to introduce additional specialised Marketplace services that further its mission of improving educational access, affordability and sustainability.
Where material changes affect users' rights or obligations, updated Terms or supplementary policies shall be published and, where required, users will be asked to accept the revised provisions before continuing to use the affected services.

Sokoskuli shall operate a transparent, accountable and professionally managed Marketplace designed to promote trust among buyers, sellers, educational institutions and other stakeholders.

Sokoskuli does not ordinarily become a contracting party between Buyers and independent Sellers.

93. PRODUCT QUALITY

- be suitable for educational use;
- be free from hidden defects.
Counterfeit products are strictly prohibited.
94. QUALITY ASSURANCE
Sokoskuli may conduct quality assurance activities including:

- random inspections;
- documentation verification;
- image verification;
- product sampling where legally permissible;
- customer feedback analysis.
Quality assurance does not transfer legal responsibility from Vendors to Sokoskuli.
95. PRODUCT RECALLS
Where a Vendor becomes aware that a listed product:

- violates applicable regulations,
the Vendor shall immediately:

- cease further sales;

Following completion of a transaction, Buyers may rate:

Ratings may contribute to an overall Vendor Performance Score.
98. CUSTOMER REVIEWS
Marketplace reviews should:
- reflect genuine experiences;
- be respectful;
- avoid defamatory statements;
- avoid discriminatory language;
- avoid disclosure of personal information.
Reviews should relate directly to the transaction concerned.
99. PROHIBITED REVIEWS
Users shall not:
- submit fake reviews;

- repeatedly post duplicate reviews;
- manipulate Marketplace ratings.
Sokoskuli reserves the right to remove reviews that breach these Terms.

Featured placement does not constitute endorsement of a product.
Sponsored listings shall be clearly identified where required by law.
103. ADVERTISING STANDARDS
Advertising published through Sokoskuli shall:
- be truthful;
- avoid misleading claims;
- comply with applicable laws;
- respect intellectual property;
- avoid discrimination;
- avoid offensive content.
Educational claims should be supported by credible evidence where appropriate.
104. PROMOTIONAL CAMPAIGNS
Vendors participating in promotions shall:
- honour advertised prices;
- maintain adequate inventory where reasonably practicable;

- account suspension;
- permanent account termination.
Serious misconduct may also be reported to relevant regulatory or law enforcement authorities where required by law.

Sokoskuli shall implement reasonable technical and organisational measures to protect Marketplace systems and user information.
Security measures may include:
- encryption;
- secure authentication;
- intrusion detection;
- firewalls;
- vulnerability assessments;
- penetration testing;
- security monitoring;
- access controls.
118.2 User Responsibilities
Users shall:
- maintain secure passwords;
- enable Multi-Factor Authentication where available;
- protect devices used to access the Marketplace;
- report suspected security incidents immediately.
119. PROHIBITED CYBER ACTIVITIES
Users shall not:
- hack Marketplace systems;
- distribute malware;
- attempt unauthorised access;
- perform denial-of-service attacks;
- intercept communications;
- harvest credentials;
- scrape Marketplace data without permission;
- reverse engineer Marketplace software except where permitted by law.
Such conduct may result in immediate suspension and referral to law enforcement authorities.
120. SECURITY INCIDENTS
Where a security incident affecting personal information is identified, Sokoskuli shall:
- investigate promptly;
- contain the incident;
- assess potential impact;
- notify affected persons where required by law;
- notify regulators where legally required;
- implement corrective measures.
121. INTELLECTUAL PROPERTY
Unless otherwise stated, all intellectual property relating to the Marketplace is owned by or licensed to Manen Systems Limited.
This includes:
- the Sokoskuli name;
- logos;
- trademarks;
- software;
- databases;
- graphics;
- icons;
- user interface designs;
- source code;
- documentation;
- marketing materials;
- original content.
These rights are protected under applicable intellectual property laws.
122. USER CONTENT
Users may submit:
- product descriptions;
- images;
- videos;
- reviews;
- educational materials;
- comments;
- advertisements;
- profile information.
Users retain ownership of their original content but grant Sokoskuli a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, distribute and use such content solely for the operation, promotion and improvement of the Marketplace.
This licence ends when the content is removed, except where retention is necessary for legal, audit or dispute resolution purposes.
123. COPYRIGHT INFRINGEMENT
Sokoskuli respects intellectual property rights.
A rights holder who believes their copyright has been infringed may submit a notice including:
- identification of the copyrighted work;
- identification of the allegedly infringing material;
- evidence of ownership;
- contact information;
- a declaration of good faith.
Upon receiving a valid complaint, Sokoskuli may remove or disable access to the material pending investigation.
124. TRADEMARKS
Users shall not use:
- the Sokoskuli name;
- logos;
- branding;
- slogans;
- trademarks;
- trade dress;
without prior written permission from Manen Systems Limited.
125. ARTIFICIAL INTELLIGENCE
Sokoskuli may introduce Artificial Intelligence ("AI") features to improve user experience.
AI may be used for:
- product recommendations;
- search optimisation;
- customer support;
- fraud detection;
- content moderation;
- analytics;
- educational insights.
AI-generated outputs are intended to assist users and should not be relied upon as legal, financial, medical or educational advice without appropriate professional review.
Users shall not use Marketplace AI features to generate unlawful, discriminatory, misleading or infringing content.
126. OPEN APIs AND INTEGRATIONS
Where Sokoskuli provides APIs or developer tools:
- access shall be subject to separate developer terms;
- API keys shall remain confidential;
- abuse of APIs is prohibited;
- excessive automated requests may be restricted;
- integrations may be suspended where security risks are identified.
127. DIGITAL COMMUNICATIONS
By using the Marketplace, users consent to receive electronic communications, including:
- account notifications;
- order confirmations;
- policy updates;
- security alerts;
- payment notifications;
- service announcements.
Users may opt out of marketing communications where permitted by law, but essential operational and legal notices will continue to be sent.
128. RECORDS AND ELECTRONIC SIGNATURES
Users acknowledge that:
- electronic records may satisfy legal record-keeping requirements;
- acceptance of these Terms through the Marketplace constitutes a legally binding electronic agreement;
- electronic notices and acknowledgements shall have the same legal effect as written communications where recognised by applicable law.
129. COMMUNITY STANDARDS
129.1 Purpose
Sokoskuli is an education-focused marketplace founded on the principles of integrity, safety, professionalism, inclusivity, and mutual respect. Every user contributes to maintaining a trustworthy environment that supports learners, parents, schools, educators, vendors, service providers, and development partners.
All users shall interact respectfully and responsibly.
129.2 Expected Behaviour
Users are expected to:
- act honestly and professionally;
- communicate respectfully;
- provide truthful information;
- honour contractual obligations;
- protect children and vulnerable persons;
- respect cultural diversity;
- promote educational excellence;
- safeguard the integrity of the Marketplace.
129.3 Child Safeguarding
Given that Sokoskuli primarily serves the education sector, child safeguarding is a core principle.
Users shall not:
- exploit learners;
- solicit inappropriate contact with minors;
- upload inappropriate material involving children;
- request confidential learner information;
- engage in grooming or harassment;
- facilitate unsafe interactions.
Any suspected child exploitation shall be reported immediately to the relevant authorities.
Manen Systems Limited reserves the right to cooperate fully with law enforcement agencies in safeguarding children.
130. PROHIBITED CONDUCT
Users shall not use the Marketplace to:
- commit fraud;
- impersonate another person;
- upload malicious software;
- distribute spam;
- infringe intellectual property;
- publish defamatory material;
- manipulate Marketplace rankings;
- interfere with Marketplace operations;
- bypass payment systems;
- evade Marketplace fees;
- promote unlawful goods or services;
- engage in harassment;
- discriminate against other users;
- launder money;
- finance terrorism;
- engage in bribery or corruption;
- conduct phishing attacks;
- create fake accounts;
- manipulate reviews;
- scrape Marketplace data without authorization.
Repeated or serious violations may result in permanent exclusion from the Marketplace.
131. REPORTING MISCONDUCT
Users are encouraged to report suspected misconduct including:
- fraud;
- counterfeit goods;
- intellectual property infringement;
- unsafe products;
- abusive behaviour;
- cybercrime;
- corruption;
- child safeguarding concerns.
Reports may be submitted anonymously where permitted by law.
Knowingly submitting false reports may itself constitute a breach of these Terms.
132. MARKETPLACE INVESTIGATIONS
Where misconduct is suspected, Sokoskuli may:
- request additional information;
- review transaction records;
- interview affected users;
- suspend accounts;
- remove listings;
- preserve evidence;
- cooperate with law enforcement;
- engage independent experts where appropriate.
Investigations shall be conducted fairly and impartially.
133. USER APPEALS
Where an account, listing or service has been restricted or suspended, the affected user may submit an appeal.
Appeals should:
- identify the disputed decision;
- provide supporting evidence;
- explain why the decision should be reconsidered.
Sokoskuli shall review appeals within a reasonable period.
The Marketplace may uphold, vary or overturn its original decision.
134. DISPUTE RESOLUTION
134.1 Informal Resolution
Users should first attempt to resolve disputes amicably through direct communication using Marketplace communication tools.
134.2 Marketplace Mediation
Where direct resolution fails, either party may request mediation through Sokoskuli.
Marketplace mediation is intended to facilitate communication and settlement.
Unless expressly agreed, Sokoskuli does not act as an arbitrator.
134.3 External Remedies
Nothing in these Terms prevents parties from:
- pursuing statutory remedies;
- referring disputes to regulators;
- commencing court proceedings where appropriate.
135. COMPLAINT HANDLING
Users may submit complaints relating to:
- products;
- services;
- vendors;
- payments;
- deliveries;
- advertising;
- privacy;
- discrimination;
- accessibility;
- Marketplace operations.
Complaints shall be acknowledged promptly and investigated fairly.
136. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law:
Manen Systems Limited operates Sokoskuli as a technology-enabled marketplace connecting independent buyers, sellers and service providers.
Except where Sokoskuli is expressly identified as the supplier of goods or services, Sokoskuli is not responsible for:
- product quality;
- manufacturing defects;
- vendor warranties;
- delivery delays caused by third parties;
- contractual breaches between buyers and sellers;
- business interruptions beyond its reasonable control.
Nothing in these Terms excludes liability that cannot lawfully be excluded under Kenyan law, including liability arising from fraud, wilful misconduct, gross negligence, or any mandatory statutory rights.
137. DISCLAIMER OF WARRANTIES
Except as expressly provided, the Marketplace is made available on an "as available" and "as is" basis.
Sokoskuli does not warrant that:
- uninterrupted access will always be available;
- the Marketplace will be free from errors;
- all third-party content will always be accurate;
- every listing will remain continuously available.
Reasonable efforts shall nevertheless be made to maintain a reliable and secure service.
138. INDEMNITY
Users agree to indemnify and hold harmless Manen Systems Limited, its directors, employees, officers, agents and affiliates against claims, losses, damages, liabilities, costs and reasonable legal expenses arising from:
- breach of these Terms;
- unlawful conduct;
- infringement of third-party rights;
- misuse of the Marketplace;
- negligent acts or omissions.
This indemnity shall survive termination of these Terms.
139. FORCE MAJEURE
Neither Sokoskuli nor any user shall be liable for failure or delay in performing obligations where such failure results from events beyond reasonable control, including:
- natural disasters;
- floods;
- droughts;
- epidemics;
- pandemics;
- acts of terrorism;
- civil unrest;
- strikes;
- governmental restrictions;
- internet outages;
- national power failures;
- cyber incidents beyond reasonable control.
Affected parties shall take reasonable steps to minimise disruption and resume performance as soon as practicable.
140. INSOLVENCY
Where a vendor becomes insolvent, enters liquidation, administration or receivership, Sokoskuli may suspend or terminate the vendor's Marketplace access in order to protect consumers and other users.
141. BUSINESS CONTINUITY
Sokoskuli shall maintain reasonable business continuity measures to support continued Marketplace operations during significant operational disruptions.
This does not constitute a guarantee of uninterrupted availability.
142. CHANGES TO THE MARKETPLACE
Sokoskuli may from time to time:
- introduce new services;
- discontinue services;
- improve existing functionality;
- update technology;
- modify operational processes.
Material changes affecting users' rights shall be communicated through appropriate channels.
143. AMENDMENTS TO THESE TERMS
These Terms may be amended periodically.
Where amendments materially affect user rights or obligations:
- revised Terms shall be published through the Marketplace;
- the effective date shall be clearly indicated;
- users may be required to accept the revised Terms before continuing to access affected services.
Continued use of the Marketplace following acceptance constitutes agreement to the updated Terms.
144. SEVERABILITY
If any provision of these Terms is found by a court or competent authority to be invalid, illegal or unenforceable:
- the remaining provisions shall remain in full force and effect; and
- the invalid provision shall, where possible, be interpreted in a manner consistent with its original intent.
145. NO WAIVER
Failure by Sokoskuli to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights available under these Terms or applicable law.
146. ASSIGNMENT
Sokoskuli may assign, transfer or subcontract its rights and obligations under these Terms as part of business restructuring, mergers, acquisitions or operational requirements.
Users may not assign or transfer their rights or obligations without the prior written consent of Manen Systems Limited.
147. ENTIRE AGREEMENT
These Terms, together with all incorporated policies and agreements, constitute the entire agreement between the user and Manen Systems Limited concerning the use of the Sokoskuli Marketplace and supersede all prior understandings relating to the subject matter.
148. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.
149. JURISDICTION
Subject to any mandatory dispute resolution procedures required by law, the courts of the Republic of Kenya shall have exclusive jurisdiction over disputes arising from or relating to these Terms.
150. NOTICES
Official notices may be delivered through:
- registered email;
- the Sokoskuli Marketplace;
- the mobile application;
- SMS where appropriate;
- registered postal address where legally required.
Electronic communications shall be deemed received when transmitted, unless proven otherwise.
